Terms of Service
1. Who we are
SafeHold is a transaction protection platform operated by Safehold Commerce Solutions, a registered Nigerian business. We are a technology platform, not a bank.
Payments are processed by Paystack, a CBN-licensed payment processor. SafeHold does not hold or control your funds directly — funds are held in your Paystack merchant account on your behalf.
2. What SafeHold does
SafeHold protects online transactions between buyers and sellers by:
- Holding buyer funds until delivery is confirmed
- Releasing funds to the seller after the buyer confirms
- Providing dispute resolution if problems arise
- Auto-releasing funds if the buyer does not respond within the agreed inspection window
3. Deal creation
Sellers create deals with a title, description, price, and delivery terms. The description becomes the basis for any dispute resolution — sellers must be accurate. Inaccurate descriptions may result in a dispute ruling against the seller.
SafeHold charges a protection fee paid by the buyer on top of the deal amount.
4. Fee structure
Our fees are transparent and charged to the buyer:
- Deals up to ₦24,999: flat ₦800
- Deals ₦25,000–₦999,999: 2.5% + ₦300
- Deals ₦1,000,000–₦9,999,999: 1.5% + ₦500
- Deals above ₦10,000,000: flat ₦150,000
Sellers receive 100% of their asking price. Fees are non-refundable once a deal is funded, except where SafeHold is at fault.
5. Buyer responsibilities
By funding a deal, buyers agree to:
- The deal description and terms as written
- Inspect the item within the inspection window
- Confirm delivery or raise a valid dispute within the window
- Only dispute on grounds the seller pre-approved
Failure to act within the inspection window results in automatic fund release to the seller.
6. Seller responsibilities
Sellers agree to:
- Deliver exactly what was described
- Ship within a reasonable time after funding
- Provide tracking information where applicable
- Accept dispute resolution decisions by SafeHold
7. Disputes
Either party may raise a dispute during an active deal. Disputes freeze all funds until resolved.
SafeHold Admin reviews evidence from both parties and makes a final binding decision. SafeHold's decision on disputes is final.
Standard resolution: within 48 hours. Premium resolution (₦3,000): within 4 hours.
SafeHold is not liable for losses arising from fraudulent information provided by either party.
8. Prohibited uses
You may not use SafeHold for:
- Illegal goods or services
- Money laundering or fraud
- Transactions involving stolen property
- Any purpose that violates Nigerian law
Violation results in immediate account suspension and reporting to relevant authorities.
9. Limitation of liability
SafeHold is a technology intermediary. We facilitate transactions but do not guarantee the quality of goods or services. Our liability is limited to the fees collected on any disputed transaction.
We are not liable for losses due to:
- Buyer or seller misrepresentation
- Courier or logistics failures
- Banking delays outside our control
- Force majeure events
10. Changes to terms
SafeHold may update these terms at any time. Continued use of the platform constitutes acceptance of updated terms. Major changes will be communicated via SMS.
